These Terms of Service ("Terms") govern your access to and use of our website, services, and related programs (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility & Participation Requirements

• The Services are intended for adult men (18 years of age or older).
• By participating, you represent that you meet this eligibility requirement and are legally able to enter into this agreement.
• You must provide accurate, complete, and current information when registering or booking sessions.
• You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.

2. Description of Services

• Apex Grounding provides somatic breathwork, primal grounding movement, active meditation, and structured men's circle sessions designed for nervous system regulation, grounding, and personal development.
• We are not a medical provider, licensed therapist, or healthcare institution.
• The Services are for wellness, educational, and personal development purposes only and do not constitute medical, psychological, or therapeutic advice or treatment.
• You remain solely responsible for your own health, wellbeing, and any decisions you make as a result of participating in our programs.

3. Health Disclaimer & Contraindications

Important: Participation in somatic breathwork, primal grounding movement, and active meditation may not be suitable for everyone. These practices can be physically and emotionally intense.

You should consult with a qualified healthcare professional before participating if you have any of the following conditions:

• Cardiovascular conditions: Heart disease, uncontrolled high blood pressure, history of heart attack, stroke, or aneurysm
• Respiratory conditions: Severe asthma, COPD, or other chronic respiratory disorders
• Neurological conditions: Epilepsy, history of seizures, or other seizure disorders
• Mental health conditions: Schizophrenia, psychosis, severe anxiety or panic disorders, bipolar disorder, PTSD (especially unmanaged), or dissociative disorders
• Pregnancy: Particularly in the first trimester, or if you have a high-risk pregnancy
• Recent surgery or injury: Especially affecting the head, neck, spine, chest, or abdomen
• Glaucoma or retinal detachment: Increased intraocular pressure can be a risk
• Osteoporosis or severe physical limitations: That may prevent safe participation in movement practices
• Current use of medications: That may be affected by changes in breathing patterns or physical exertion

This list is not exhaustive. If you have any medical or psychological conditions, or are unsure about your fitness to participate, consult with your healthcare provider before attending any session.

4. Assumption of Risk & Waiver

• By participating in Apex Grounding programs, you acknowledge and accept the inherent risks involved in somatic breathwork, movement practices, and group sessions.
• These risks may include, but are not limited to: physical injury, muscle strain, emotional release, dizziness, lightheadedness, tingling sensations, temporary changes in consciousness, and psychological discomfort.
• You agree to participate voluntarily and assume full responsibility for any physical, emotional, or psychological outcomes resulting from your participation.
• You acknowledge that you are participating of your own free will and that you may stop or modify your participation at any time if you feel uncomfortable or unwell.
• You agree to immediately inform the facilitator if you experience any concerning symptoms during a session.

5. Payment, Subscriptions & Refunds

• Payment is required to reserve your seat in sessions or subscribe to our programs. Pricing and details are described at the time of purchase.
• Fees may be charged on a one-time or recurring basis depending on the program selected.
• All payments are non-refundable except as required by law or as explicitly stated in our refund policy at the time of booking.
• We may change pricing or session structures with prior notice.
• Founding rate pricing and limited-time offers are subject to seat availability and stated deadlines.

6. Confidentiality & Circle Agreements

• All participants agree to maintain strict confidentiality regarding what is shared by others during sessions. What is shared in the room stays in the room.
• You may share your own personal experiences from sessions with others, but you may not share anyone else's stories, identities, or personal information.
• Violation of confidentiality may result in immediate removal from the program without refund.

7. Code of Conduct

Participants are expected to:

• Treat all participants and facilitators with respect and dignity
• Follow instructions from facilitators for safety and group cohesion
• Participate responsibly and within your comfort level
• Arrive on time and prepared (comfortable clothes, water, optional journal)
• Refrain from attending sessions under the influence of alcohol or non-prescribed substances
• Not engage in disruptive, aggressive, or harmful behavior

We reserve the right to remove any participant from sessions who violates these guidelines, without refund.

8. Intellectual Property

• All content on this website and in our programs, including text, graphics, logos, images, audio, and methods, is owned by or licensed to Apex Grounding.
• You may not copy, distribute, record, or create derivative works from our content without prior written consent.
• Photography, video, or audio recording during sessions is prohibited unless explicitly authorized.

9. Disclaimer of Warranties

• The Services are provided "as is" and "as available" without warranties of any kind, express or implied.
• We make no guarantees about specific results, outcomes, or benefits from participating in our programs.
• We do not guarantee that sessions will meet your expectations or address your specific personal circumstances.
• The information and practices shared are general in nature and should not be relied upon as a substitute for professional medical, psychological, or therapeutic care.

10. Limitation of Liability

To the fullest extent permitted by law:

• Apex Grounding, its owners, facilitators, employees, and affiliates will not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from your participation in our Services.
• This includes but is not limited to personal injury, emotional distress, physical harm, loss of income, or damages resulting from your participation in sessions.
• Our total liability for any claim arising out of or related to the Services will not exceed the amount you paid to us in the 12 months prior to the event giving rise to the claim.
• By participating, you acknowledge and agree that you assume all risk associated with your participation and release Apex Grounding from any liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless Apex Grounding and its owners, facilitators, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your violation of these Terms
• Your participation in the Services
• Your violation of any rights of another party
• Any injury or harm you cause to yourself or others during sessions

12. Termination & Removal

• We may suspend or terminate your access if you violate these Terms or misuse the Services.
• You may cancel your subscription at any time, but fees already paid are non-refundable unless otherwise stated.
• We reserve the right to refuse service to anyone for any reason.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the new Terms. Material changes will be communicated via our website or email.

14. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.
• Any disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration in Maricopa County, Arizona.
• You waive the right to participate in a class action lawsuit or class-wide arbitration.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
